1. Acceptance of Terms
By creating an account, initializing an organization workspace, or accessing the OpsCalify platform, you represent that you have the authority to bind your organization to this Master Service Agreement (“Terms”).
If you are using OpsCalify on behalf of an agency, company, or enterprise entity, “Customer” or “Subscriber” refers to that entity. Individual end-users invited to a workspace must also comply with acceptable use guidelines.
2. Workspace Provisioning & Founder Protection
Upon registration, an organization workspace (the “Tenant”) is initialized under a single primary creator (the “Founder”).
Immutable Founder Rights: To prevent administrative lockouts or hostile workspace takeovers, the founder account (Company.createdById) is permanently protected. No administrator or custom role can remove, demote, or revoke the founder’s administrative access.
- Workspace administrators are responsible for managing employee roles, shift assignments, and module access permissions.
- Subscribers are responsible for keeping account credentials confidential and for all actions taken under their workspace.
3. Subscriptions, Tiers & Billing
OpsCalify services are billed on a recurring subscription basis (monthly or annually) according to your selected plan tier (Starter, Growth, Enterprise).
- Free Trial: New organizations receive a 14-day evaluation trial with full feature access and no credit card requirement.
- Shift Allocation: Organizations can configure multiple active shifts. Plan tiers cap total active employees and shift configurations as specified during onboarding.
- Upgrades & Cancellations: Upgrades take effect immediately. Subscriptions may be canceled at any time prior to the next renewal billing date without cancellation penalties.
4. Quotations, Commissions & Financial Math
The OpsCalify financial engine operates under strict mathematical invariants to ensure auditability and zero reconciliation drift:
- Single Currency Standard: All organization calculations (salaries, sales, payroll, expenses) are processed in the primary workspace currency (
Company.currency). - Quotations Exception: Per-document currencies are permitted strictly on Quotation line items.
- Frozen Payout Splits: When a sale is recorded, employee commission payouts and company profit figures are computed and frozen at creation. They are never retroactively altered by subsequent rate changes.
- Immutable Payroll Slips: Finalized payroll runs are immutable. Corrections must be voided and regenerated, preserving append-only audit logs.
5. Acceptable Use & System Integrity
Subscribers agree not to misuse the platform or assist others in doing so. Prohibited activities include:
- Attempting to bypass tenant data isolation or access unauthorized
companyIddata. - Reverse-engineering API endpoints or performing automated scrapers without written consent.
- Submitting malicious code or dangerous payloads through public intake forms.
- Using the service to process unauthorized or unlawful financial transactions.
6. Service Level Agreements (SLAs)
OpsCalify targets a 99.99% core application uptime SLA.
- Priority Support: Growth and Enterprise plan subscribers receive sub-1 hour response SLAs for high-priority support tickets.
- Maintenance Windows: Scheduled maintenance is communicated at least 48 hours in advance during off-peak weekend windows.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OpsCalify Inc. or its affiliates be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue.
OpsCalify’s aggregate liability for any claims arising out of or relating to this agreement shall be limited to the total fees paid by Subscriber to OpsCalify in the twelve (12) months preceding the event giving rise to liability.
8. Termination & Governing Law
Either party may terminate this Agreement upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days.
These Terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles.
